Organisational details

The ORLEN Group companies are engaged in the following
types of activity: 

  • hydrocarbon exploration, appraisal and production, and import
    of natural gas;
  • power generation (electricity and heat), refining and petrochemical activities including crude oil processing and manufacturing of refining, petrochemical and chemical products and semi-finished products, biofuels and oils;
  • trading: transmission, distribution and trading of electricity and heat,wholesale and retail sale of fuel products, petrochemicals, chemicals and other products, sale and distribution of gas and liquid fuels;
  • services: crude oil, fuel and gaseous fuel storage, transport, maintenance and repair, laboratory, security, design, administrative, courier, press distribution, insurance, financial, and media (newspapers and Internet website) services.

For management purposes, the ORLEN Group’s business is divided into six operating segments:

  • Refining – production and wholesale of refining products, production and marketing of oils and auxiliary production;
  • Petrochemicals – production and wholesale of petrochemicals, production and marketing of chemicals, and auxiliary production;
  • Energy – generation, distribution and sale of electricity and heat, electricity trading;
  • Retail – mainly operations conducted at service stations and the operations of the RUCH Group;
  • Upstream – operating activities related to the exploration for and production of mineral resources carried out through the ORLEN Upstream Group, LOTOS Upstream Group, and LOTOS Petrobaltic Group;
  • Gas – a new operating segment identified following the merger with the PGNiG Group in Q4 2022; it includes natural gas exploration and production, distribution and trading;

Corporate Functions – management, administrative and other activities not allocated to any of the identified operating segments.

As at December 31st 2022, the Polish State Treasury held 49.9% of shares in the ORLEN Group Parent, ORLEN.

As at December 31st 2022, the ORLEN Group comprised 181 companies:
the Parent and 180 companies controlled by ORLEN.

Allocation of the Parent and the ORLEN Group companies to operating segments and corporate functions as at December 31st 2022

ORLEN as the Group's Parent is a multi-segment organisation, appropriately allocated to all operating segments and corporate functions.

According to the ORLEN Group’s Strategy updated in February 2023, the key goal of the combined ORLEN Group is to ensure stable supplies of energy, fuel and gas from green sources. On the path to this goal we will primarily invest in renewable energy generation, hydrocarbon production and green projects, including biogas and biofuels. We will also develop hydrogen technologies, modern petrochemical assets and safe nuclear power generation. The Group’s fast growth and investments will be a driving engine for Poland’s economy, contributing to the modernisation of the energy and fuel industries and creating new jobs. Projects implemented under the strategy will also effectively address global trends and challenges, mainly in such areas as energy security and climate change. Implementation of the ORLEN2030 strategy will bring us closer to achieving our long-term objective of becoming carbon neutral by 2050. It will make ORLEN a leading multi-utility player in the region with a strong asset portfolio.

Effective growth of the ORLEN Group would not be possible without full operational and cost efficiency. We continually take steps to improve our management processes, optimise our business model and consolidate our assets. As a result of this strategy, we have consistently strengthened our position on home markets and have been steadily expanding our product range and geographical reach.

To ensure effective management, we have introduced holding management policies, i.e. solutions designed to achieve Parent-defined shared goals across the ORLEN Group. The holding management concept has been implemented based on the ORLEN Group Constitution, which ensures uniformity of the organisational standards and information exchange rules, as well as effective monitoring of key business decisions. It also identifies the legal basis for creating a consistent strategy within the ORLEN Group. ORLEN’s effective corporate supervision over the ORLEN Group companies relies on ongoing oversight of the Group's operations based on uniform standards, as well as financial, and formal and legal supervision.

Changes in the Parent’s and the ORLEN Group’s principles of organisation and management

Key changes in ORLEN’s organisational structure andmanagement policies in 2022:

  • the area of Executive Director for Procurement was transferred to the division of Member of the Management Board for Finance;
  • a new organisational unit, Analysis and Merger Support Office, was created in the division managed by the CEO
  • the name of Management Board Office was changed to Governing Bodies Support and Organisation Management Office;
  • draft organisational charts were prepared in connection with the merger of ORLEN with Grupa LOTOS in order to allocate organisational units of Grupa LOTOS to the respective organisational units in selected areas of ORLEN;
  • the ORLEN Supervisory Board appointed Krzysztof Nowicki to the Company's Management Board, and the areas of Executive Director for Petrochemical Production and Executive Director for Refining Production were transferred to Production and Optimisation division under his management;
  • the ORLEN S.A. Supervisory Board appointed Ms. Iwona Waksmundzka-Olejniczak to the Company's Management Board, to act as a Member of Management Board for Strategy and Sustainable Development and Mr. Robert Perkowski to act as a Member of Management Board for Upstream;
  • the following units were created within the ORLEN structure:

  • Hydrogen Technology and Synthetic Fuels Office was separated within the division of Member of the Management Board for Operations;
  • the title Director of the Legal Office was changed to Executive Director for Legal Services, and the title Director for Corporate Communications was changed to Executive Director for Corporate Communications;
  • the area of Executive Director for Strategy, Innovation and Investor Relations and the supervision of the PGNiG Branch Complex was transferred to the division managed by Member of the Management Board for Strategy and Sustainability;
  • Production Digitalisation Office was separated within the division of Chief Operating Officer.

Changes in the ORLEN Group structure after the reporting period:

  • acquisition by ORLEN Unipetrol RPA s.r.o. of 100% of shares in REMAQ s.r.o. (REMAQ) of Otrokovice (Czech Republic) on January 2nd 2023. REMAQ is a Central and Eastern Europe’s leader in chemical and mechanical recycling;
  • registration with the National Court Register of a change of the name of PGNiG SPV 7 Sp. z o.o. to PGNiG BioEvolution Sp. z o.o. on March 1st 2023.

* Financial control is supervised directly by the CEO, President of the Management Board, under the Management Board’s resolution establishing the internal division of remits between Members of the Management Board and substitution of Members of the Management Board.
